By accessing and using AuditCare's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Offered

AuditCare provides professional accounting and compliance services including:

• Virtual CFO services and financial consulting
• International business services and cross-border compliance
• Business registration and incorporation services
• Tax consultation and planning
• Ongoing compliance management
• Accounting and payroll services
• Business loan assistance and financial advisory

3. Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information required for our services
• Maintain confidentiality of login credentials and account information
• Comply with all applicable laws and regulations
• Pay fees and charges as per the agreed terms
• Provide timely responses to our requests for information or documentation
• Notify us immediately of any changes in your business circumstances

4. Professional Standards

Our services are provided in accordance with:

• Indian Accounting Standards (Ind AS) and Generally Accepted Accounting Principles
• Companies Act, 2013 and relevant amendments
• Income Tax Act, 1961 and GST regulations
• Professional standards of the Institute of Chartered Accountants of India (ICAI)
• Other applicable regulatory requirements

5. Fees and Payment

• Service fees are as per the agreed engagement letter or quotation
• Payment terms are typically 30 days from invoice date unless otherwise agreed
• Late payment may result in interest charges and suspension of services
• Additional work beyond the original scope may incur extra charges
• Refunds are considered on a case-by-case basis as per our refund policy

6. Confidentiality

We maintain strict confidentiality of client information and comply with professional confidentiality requirements. We will not disclose your information except:

• As required by law or regulatory authorities
• With your explicit written consent
• To our authorized team members directly involved in your services
• To trusted third-party service providers under confidentiality agreements

7. Limitation of Liability

Our liability is limited to the fees paid for the specific service in question. We are not liable for:

• Indirect, consequential, or punitive damages
• Decisions made by you based on our advice
• Changes in laws or regulations after service completion
• Third-party actions or omissions
• Force majeure events beyond our reasonable control

8. Intellectual Property

All intellectual property rights in our methodologies, templates, and proprietary systems remain with AuditCare. You may use our deliverables for your business purposes but may not redistribute or commercialize them.

9. Termination

Either party may terminate the service agreement with 30 days' written notice. Termination does not affect:

• Payment obligations for services already provided
• Confidentiality obligations
• Our obligation to return your documents and records
• Completion of statutory filings in progress

10. Dispute Resolution

Any disputes will be resolved through:

• Good faith negotiations between the parties
• Mediation if direct negotiation fails
• Arbitration under the Arbitration and Conciliation Act, 2015
• Courts in Coimbatore, Tamil Nadu will have exclusive jurisdiction

11. Governing Law

These terms are governed by Indian law and the courts of Coimbatore, Tamil Nadu shall have exclusive jurisdiction over any disputes.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting on our website. Continued use of our services constitutes acceptance of the modified terms.

13. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
